Service Description for Optional Services Priced Software

This Service Description for Optional Services ("SDOS") describes generally the features of the Optional Services Priced Software:

E. Priced Software

Capitalised terms used in this SDOS have the meaning set out in the Terms or other documents comprising the Agreement. Dimension Data may amend this SDOS from time to time, including by adding or removing Optional Services, by posting the updated version at this URL or otherwise providing notice to Client.

1. Overview

1.1. Priced Software Service permits Clients to use Third Party Software for which the Client has an appropriate valid licence with the third party vendor (EULA) for an Optional Service Fee calculated in Software Units on either a per server, or a per CPU basis.

1.2. The Third Party Software is loaded into a Cloud Server that may be deployed using either the Service Portal or API as Priced Software on the Public IaaS.

1.3. Ordering. To order a Priced Software Service, the Client must submit an Order for Optional Services.

1.4. Fees. Fees for Priced Software are calculated using the Software Units price specified in the Dimension Data Public Compute-as-a-Service Regional Rate Plan Pricing Options

1.4.1. Per Server Priced Software incurs a specific rate of Software Units per hour when a server is running and a specific rate per hour when a server is stopped. This hourly rate is the same regardless of the number of CPU's configured on the server.

1.4.2. Example: Per Server Priced Software with a rate of 50 units per hour when the server is running and 25 units per hour when the server is stopped. If a 2 CPU Server is deployed in a running state for 2 hours and a stopped state for 1 hour, it will incur 125 software units (50 units x 2 hours running + 25 units x 1 hour stopped)

1.4.3. Per CPU Priced Software incurs a specific rate of Software Units per hour per CPU when a server is running and a specific rate per hour per CPU when a server is stopped. In this case the overall rate varies based on the number of CPU associated with the server on which the Priced Software is deployed.

1.4.4. Example: Per CPU Priced Software with a rate of 50 units per hour when the server is running and 25 units per hour when the server is stopped. If a 2 CPU Server is deployed in a running state for 2 hours and a stopped state for 1 hour, it will incur 250 software units (50 units x 2 CPU x 2 hours running + 25 units x 2 CPU x 1 hour stopped)

1.5. Cloud Servers with Third Party Software that requires additional licensing are labelled as Priced Software in the Service Portal and API along with a table describing the Software Units incurred by that specific Cloud Server.

1.6. Software Units are only incurred when a Cloud Server is deployed that includes Priced Software.

1.7. If multiple Priced Software is deployed on a Cloud Server, the Software Units and Fees for each Priced Software deployed are charge.

1.8. Once a Cloud Server has been deployed that contains Priced Software, all subsequent Customer Images created from the Server will carry the same Priced Software packages and Cloud Servers deployed from those Customer Images will incur the same charges.

2. Addtional Terms

2.1. Use of Priced Software may not be available in all locations.

2.2. Not all Priced Software contains VMWare tools. This may limit certain administration functions using the Service Portal or API. Limited functions include the ability to Modify IP Address, Restart and Clone Cloud Server using the Service Portal or API.

2.3. Clients purchasing this Service must have valid support agreements with the vendor of the Third Party Software.

2.4. As Priced Software includes Third Party Software that may be untested by Dimension Data, Incident Correction, Technical Support, Service Levels and Service Level Credits do not apply to Priced Software.
